General conditions
1. Applicability and validity
- The conditions are intended for use with companies affiliated with the Metaalunie and apply to all quotations, orders, deliveries and services, unless otherwise agreed in writing.
2. Quotations and agreements
- Quotations are without obligation, and an agreement is only concluded after written confirmation of the order.
- The period of validity of quotations and the manner in which an agreement is concluded are regulated herein.
3. Prices and payment
- Quotations are exclusive of VAT and other costs such as transport, insurance and installation.
- The payment term is usually 30 days from the invoice date. In case of late payment, collection costs and interest may be charged.
4. Delivery times and delivery
- Delivery times are indicative and are not firm deadlines unless otherwise agreed.
- The risk of loss or damage to the goods passes to the customer upon delivery.
5. Warranties and complaints
- The Metaalunie conditions contain warranty provisions in which the supplier guarantees the soundness of the goods and services delivered, usually with a limited warranty period.
- Complaints about defects must be reported within a set period after delivery.
6. Liability
- Liability of the supplier is limited and usually does not cover indirect or consequential damages.
- The customer is expected to adhere to the proper use and maintenance of the delivered products in order to claim warranty and liability.
7. Retention of title
- Ownership of the delivered goods remains with the supplier until full payment is received.
- If payment obligations are not met, the supplier may reclaim the goods.
8. Force majeure
- In cases of force majeure, such as natural disasters, pandemics, or other circumstances beyond the control of the supplier, the supplier may suspend or dissolve the execution of the contract without any obligation to pay compensation.
9. Dispute resolution and applicable law.
- Disputes are usually settled according to Dutch law, and the court of the supplier's place of business often has jurisdiction.
- In many cases an arbitration procedure can also be agreed upon, in order to resolve conflicts in an alternative way.
10. Duration and termination of contracts
- In long-term contracts, conditions are set for termination and renewal.
- Specific terms and fees may be charged for breach of contract.
